1. DEFINITIONS
Whenever used hereafter, the following terms and expressions shall have the following meaning;

”Agreement” means this Algoryx Software License Conditions, applicable between Algoryx and Licensee.

“License” refers collectively to the license forms: Demo License, Developer License, Runtime License, Subscription License, Perpetual License, as well as other types of licenses, as there may be, provided by Algoryx..

”Product” means the software, i.e. the computer program which is referred to in the software package or on the website from which it has been downloaded, including any patches, bug fixes, upgrades, enhancements and new versions as well as documentation of the Product which are included in the License.

”Licensee” means the legal entity acquiring the License from the authorized dealer of the Product (Algoryx, an affiliate of Algoryx or a reseller/agent of Algoryx, as the case may be) and which is granted the License by Algoryx under the terms of this Agreement.

”Effective Date” means the earlier of (i) the date when Licensee has purchased the License from Algoryx, an affiliate of Algoryx or a reseller/agent of Algoryx, as the case may be, and (ii) the date when Licensee has downloaded/installed the Product.

”Developer License”  means a license granted by Algoryx pursuant to Section 2, with the purpose of developing and using applications of which the Product is a part of, as set forth in Section 3.2.

“Demo License” means a license granted by Algoryx pursuant to Section 2, with the purpose of time-limited evaluation of the Product for consideration of obtaining a commercial License from Algoryx as set forth in Section 3.1.

“Runtime License” means a license granted by Algoryx pursuant to Section 2, with the explicit purpose of being sub-licensed or resold as set forth in Sections 3.3 and 4.

“Subscription License” means a license granted by Algoryx in addition to the License, that enables subscription of updates, bug-fixes and patches of the Product as set forth in Section 3.

“Perpetual License” means a license granted by Algoryx in addition to the License, that entitles to perpetual use of the Product as set forth in Section 3.

”License Fee” means the compensation to be paid by Licensee to Algoryx, an affiliate of Algoryx or a reseller/agent of Algoryx, as the case may be, in consideration of the delivery of the Product and the grant of the License.

“Maintenance Arrangement” means as set out in Section 3.2.

”Product Documentation” means Algoryx’ standard form of operating manuals, supplied by Algoryx’ for aiding the use of the Product.

”Term”  means  the  period  from  the  Effective  Date  through  the period set forth in the Algoryx order and as set forth in the License Key for each license, unless the license is earlier terminated as provided in this Agreement.

“Working Days” means Monday to Friday, exclusive of holidays and weekdays which commonly have limited working time according to the Swedish calendar.

“Office Hours” normally means 9.00-17.00 (CET) but may be extended at Algoryx’s discretion to match other time zones.

“License Key” means an encrypted key provided from Algoryx to Licensee for the purpose of unlocking the Product for use.

”Third Party Product” means a computer program or any other component included in the Product which Algoryx has not developed, but to which Algoryx has been granted a right from a third party to use as part of, or together with, the Product.

”Algoryx” means Algoryx Simulation AB, reg. no. 556605-9298, a company duly incorporated and organised under the laws of Sweden and having its principal office at Kuratorvägen 2B, 907 36 Umeå, Sweden, and/or its subsidiaries and affiliates.

“User” means the physical person(s) designated by the Licensee as the person(s) having the right to use the Product under the License with the terms and conditions of this Agreement.


2. ACCEPTANCE OF LICENSE TERMS
2.1 By downloading and/or installing and/or buying the Product, the Licensee agrees to and accepts the terms of the License (as set forth in this Agreement) under which Licensee benefits from a non-exclusive right to use the Product in accordance with the terms set out in this Agreement.


3. LICENSE TERMS
3.1 If Licensee has obtained a Demo License, Algoryx hereby grants to Licensee a non-exclusive, non-transferable, royalty-free and cost-free right to use the Product in object code form only during the Term for its sales and marketing purposes only, subject to the terms and conditions hereof and for the sole purpose of demonstration and/or evaluation of the Product.

3.2 If Licensee has obtained a Developer License, Algoryx hereby grants to Licensee a non-exclusive, non-transferable right to use the Product in object code form only during the Term for its internal business purposes only, subject to the terms and conditions hereof. Licensee may not sub-license, rent out or lend the Product, or utilize the Product for purposes of operating a service bureau or otherwise permit anyone other than the Licensee/the User, either directly or indirectly, for payment or otherwise, to make use of or otherwise dispose of the Product.

3.3 If Licensee has obtained a Runtime License, Algoryx hereby grants to Licensee a non-exclusive right to use the Product in object code form only during the Term, as well as a right to resell, transfer and sub-license the Runtime License within the legal entity of Licensee, or to a third-party customer or partner of Licensee.

3.4 Licensee may not sub-license or transfer a Runtime License of Product as is, unless Product is an integral part of a non-trivial product, system or solution licensed from Licensee to its customers and partners.

3.5 If Licensee has acquired a Runtime License for sub-licensing, Licensee shall display a text or logotype representing Algoryx and the Product (for example in a start-up splash screen) so that it is visible to end-users of the program, product or solution into which Licensee has integrated Product. Algoryx and Licensee shall negotiate the details of this in good faith.

3.6 Unless otherwise stated, Licensee may install and use the Product on a maximum of one single workstation/computer for a designated User, and may not install the Product on a server which may be accessed by multiple users through a network..

3.7 For a valid Subscription License, Algoryx grants Licensee right to use patches and bug fixes which Algoryx, at its sole discretion from time to time elects to release, as well as upgrades, enhancements and new versions of the Product that Algoryx may develop and deliver (provided, however, that Algoryx is under no obligation to do so under this Agreement) during the Term. After upgrade, the Licensee may no longer use the software that formed the basis for its upgrade eligibility.

3.8 Provided Licensee holds a valid License, Algoryx will upon request from Licensee provide Demo Licenses for the purpose of marketing and demonstration of Licensees products to their market and customers. Such Demo Licenses shall be cost-free and royalty-free and may not be sub-licensed, resold or used for any paid work.


4. DURATION OF LICENSE, TERMINATION AND RENEWAL
4.1 The License shall commence on the Effective Date and shall, subject to Licensee’s continued compliance with the terms of this Agreement, continue during the Term, unless earlier terminated as provided in this Agreement. The License shall terminate immediately upon the earlier of (i) the expiration of the Term and (ii) termination of this Agreement, howsoever occasioned. Licensee acknowledges that the Product may automatically cease operating upon the expiration of the Term. Algoryx shall have no liability for turning off the Software upon expiration of the Term via the License Key.

4.2 Unless otherwise stated, a Subscription License, shall be automatically renewed annually on their expiration date, unless explicitly terminated in written notice ninety (60) days before this expiration date.

4.3 Invoicing of a new License shall be made by Algoryx when Algoryx has received a purchase order referring to a written and valid price quote from Algoryx. For renewal of Subscription Licenses, Algoryx will invoice thirty (30) to sixty (60) days before their expiration date unless termination according to 4.2. In the case Licensee requires that it first has issued a valid purchase order to Algoryx before accepting invoicing of renewal of Subscription Licenses, Licensee shall do so at least sixty (60) days before the renewal date, and otherwise Algoryx shall have the right to issue an invoice without reference to such  purchase order.

4.4 Payment terms shall be 30 days net after Licensee has received an invoice from Algoryx.

4.5 At its own discretion, Algoryx will deliver valid License Keys to Licensee either when Algoryx has received a valid purchase order from Licensee, or when Algoryx has received payment for the invoice. Alternatively, Algoryx may choose to deliver a temporary License Key when Algoryx has received a valid purchase order and deliver a License Key for the full Term upon receival of payment.

4.6 Algoryx retains the right to do annual price adjustments of the various licenses of Product, in its generally available price books. For Licensees that already have entered this Agreement, these price adjustments shall be limited to a maximum of three percent (3%) per annum.


5. PROPRIETARY RIGHTS
5.1 Licensee is aware of and accepts that the Product is and shall remain the property of Algoryx, or its licensor(s), and that nothing herein shall be construed as transferring any rights whatsoever in the Product from Algoryx to Licensee, except as expressly set out herein.


6. WARRANTY AND SUPPORT
6.1 To the extent the Term is longer than 90 days, Algoryx warrants that the Product has been tested and will function generally in accordance with the Product Documentation during a 90 (ninety) day warranty period following the Effective Date. Failure to so function shall mean a material failure   or   malfunction  capable   of   being   replicated  by Algoryx upon Licensee’s specifications and which prevents use of the Product as specified in the Product Documentation, or which provokes an incorrect action or result, although the Product is used by Licensee in full compliance with the Product Documentation or as otherwise directed by Algoryx and only with such other software or hardware as has been approved by Algoryx for use with the Product. Notwithstanding the foregoing, Algoryx has no obligation whatsoever for errors in the Product caused by or related to any Third Party Products.

6.2 The warranty above in Section 6.1 shall only apply if;
(a) the Product is used under reasonable conditions and in accordance with the Product Documentation;
(b) Licensee, without  undue  delay,  has  given  Algoryx notice of any errors, defects, non-conformities or deviations of the Product and has provided a warranty fault report to Algoryx presenting a specification of the error, promptly after the error has been discovered by Licensee;
(c) any error, defect, non-conformity or deviation of the Product was not caused by inter-working equipment not supplied under this Agreement;
(d) any error, defect, non-conformity or deviation of the Product was not caused by Licensee’s use of the Product together with equipment, other than prescribed by Algoryx; and
(e) Licensee  has  given  Algoryx ample opportunity  to remedy such error, defect, non-conformity or deviation, including any reasonable workarounds suggested by Algoryx.

6.3 Algoryx warrants that it is the owner, or holder of licenses, of all intellectual property rights relating to the Product and has  the  full  power  and  right  to  license  the  Product  to Licensee.

6.4 The warranties set forth in Section 6.1 and 6.3 above are the only warranties made to Licensee and are provided in lieu of any other express warranties or similar obligations (if any) created by any advertising, documentation, packaging, or other  communications. Except  for  the  warrantied contained in Section 6.1 and 6.3 above, and to the maximum extent permitted by applicable law, Algoryx provides the Product and support services (if any) AS IS AND WITH ALL FAULTS, and hereby disclaims all other warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) implied warranties, duties or conditions of merchantability, fitness for a particular purpose, of reliability or availability, accuracy or completeness of responses, of results, of workmanlike effort, of lack of viruses, and of lack of negligence, all with regard to the Product, and the provision of or failure to provide support or other services, information, software, and related content through the Product or otherwise arising out of the use of the Product.

6.5 For Licenses with a valid Subscription License, Algoryx will provide Licensee with best-effort support through online communication over email, instant messaging or online video as devised by Algoryx, during Working Days and Office Hours. Algoryx is considered to be informed about errors, bugs and questions when Algoryx has received such qualified information into its devised error-report ticket handling system. Algoryx will acknowledge this with a receipt and have a response time on support which normally is within five (5) Working Days. Algoryx will firstly, if applicable, advise Licensee as to the intended, recommended and correct use of the Product that avoids such support issues. Secondly, Algoryx shall advise Licensee to upgrade to a later version of Product in case the support issue is corrected there. Thirdly, Algoryx shall apply best efforts in correcting support issues and prioritized bug-fixes in a forthcoming official release, and if this is not possible or feasible in time, Algoryx shall advise Licensee how to circumvent the error or defect, or Algoryx may at its own discretion chose to provide a patch or upgrade of Product that corrects the support issue.

6.6 Algoryx will only at its own discretion provide support for components or functionality that in source code or documentation are referred to as experimental, or work in progress. General training of Licensee personnel in using Product is not provided as part of the support, but offered as a separate service. Neither is integration with other tools, software and products included in the support, but offered as a separate service.

6.7 Increased levels of support, maintenance and services may be contracted by Licensee and Algoryx in an addendum to this Agreement, or in a separate service agreement.


7. INTELLECTUAL PROPERTY RIGHTS INDEMNITY
7.1 Algoryx agrees to indemnify, defend and hold harmless Licensee from and against any and all claims, losses, costs, liabilities, and expenses arising as a result of or in connection with Algoryx’ breach of the warranty in Section 6.3 provided that Algoryx is given complete control of such claim, that Licensee does not prejudice Algoryx’ defense of such claim, that Licensee gives Algoryx all reasonable assistance with such claim at the cost of Algoryx and that the claim does not arise as a result of Licensee’s use of the Product in combination with any equipment not supplied or approved in writing by Algoryx or the use of the Product in conflict with this Agreement.


8. LIABILITY OF LICENSEE
Licensee shall be responsible for its activities related to the use of the Product. Licensee undertakes to indemnify and hold Algoryx harmless from any liability for Algoryx inflicted upon Algoryx, resulting from its unauthorised use of the Product or copies thereof by Licensee.


9. LIABILITY OF ALGORYX
Notwithstanding anything set out elsewhere in this Agreement, the following shall apply with regard to Algoryx’ liability under this Agreement;
(a) Other than the indemnity set forth in section 7 Algoryx’  entire  liability  and  Licensee’s  exclusive remedy for any breach of the warranties contained in Section 6 or any other breach of this Agreement or for any other liability relating to the Product shall be, at Algoryx’  option,  subject  to  applicable  law:  (i)  to repair, replace or modify the Product; or (ii) in the case of a breach of Section 6.3, to obtain a license from the infringed party, permitting the continued use of the Product. In the event Algoryx considers, at its sole discretion,  that  none  of  the  above  alternatives  is possible at a reasonable cost to Algoryx, then Licensee shall be obliged to stop using the Product (whereupon the Agreement shall be considered as terminated with immediate effect) and the Licensee will in such case as full and final compensation obtain a pro-rata refund of the price paid for the Product License Fee during the past year (12 months until date of termination of Agreement), based upon amortization of the License Fee on a straight-line basis over two (2) years from the Effective Date.
(b) Neither party shall be liable for any indirect, consequential, special  or  punitive  damages  arising from the provision of services hereunder such as commercial loss, loss of orders, any commercial disturbance, loss of profits, loss of data or third party claims, even if Algoryx has been advised of the possibility of such damages. Further, the liability of Algoryx for any and all causes with respect to the Product, breach of  contract,  warranty  or  otherwise, shall in aggregate not exceed the License Fee, unless such liability has been caused by any grossly negligent act or omission or willful misconduct of Algoryx.
(c) The parties acknowledge that the limitations and exclusions of liability are reasonable in the context of this Agreement and, in particular, recognise that the License Fee has been agreed on the basis of the limitations and exclusions of liability set out herein.


10. FORCE MAJEURE
Algoryx shall not be liable for any delay in performing its obligations if  such  delay  is  caused  by circumstances beyond its reasonable control. The performance of Algoryx obligations shall be suspended during the period that the said circumstances persist and Algoryx shall be granted an extension of time for performance equal to the period of the delay.


11. CONFIDENTIALITY

11.1   Licensee undertakes to treat as confidential and keep secret all information contained or embodied in the Product and Product Documentation (hereinafter collectively referred to as the “Information”) provided that this Section shall not extend to any information which was rightfully in the possession of Licensee without confidentiality obligations prior to the commencement of the negotiations leading to this Agreement or which is already public knowledge or becomes so at a future date, without fault of Licensee (otherwise than as a result of a breach of this Section).

11.2 Licensee shall  not  without  the  prior  written  consent  of Algoryx divulge any part of the Information to any person except to (i) Licensee’s employees and third party consultants on a strict need to know basis, (ii) Licensee’s auditors and any other persons or bodies having a right, duty or obligation to know the business of Licensee and then only in pursuance of such right, duty or obligation, and (iii) any person who is from time to time appointed by Licensee to maintain any equipment on which the Product is being used (in accordance with the terms of the License) and then only to the extent necessary to enable such person properly to maintain such equipment.

11.3 Licensee undertakes to ensure that the persons and bodies mentioned in Section 11.2 are made aware prior to the disclosure of any part of the Information that the same is confidential and that they owe a duty of confidence to Algoryx.


12. ALTERATIONS
Licensee undertakes not to alter, modify, decompile, reverse engineer the whole or any part of the Product in any way whatever, except and  only  in  those  jurisdictions  where reverse engineering may be expressly permitted under mandatory law (and only to the extent so permitted), nor permit the whole or any part of the Product to be combined with or become incorporated in any other programs other than as set out in the Product Documentation.


13. TERMINATION AND EFFECTS OF TERMINATION
13.1 Each Party may terminate the agreement for cause with immediate effect if the other Party (i) essentially breaches the terms of this Agreement and is not able to rectify the breach within thirty (30) days from the receipt of written notification thereof of the other Party or (ii) is declared bankrupt or placed into liquidation or otherwise suspends its payments, except that suspension of payments or maintenance in case of a contested payment obligation or other disputes that shall not entitle either Party to terminate for cause, as aforesaid.

13.2  Forthwith upon the termination of this Agreement, Licensee shall, if requested by Algoryx, cause the Product to be returned to Algoryx or destroy the Product and shall certify in writing to Algoryx that the same has been done.

13.3 Any termination  of  the  License  or  this  Agreement (howsoever occasioned) shall not affect any accrued rights or liabilities of either party nor shall it affect the coming into force or the continuance in force of any provision hereof which is expressly or by implication intended to come into or continue in force on or after such termination, including Sections 5, 9, 11, 12 and 13 through 19.


14. ASSIGNMENT
Licensee shall not be entitled to assign, sub-license or otherwise transfer its rights and obligations under this Agreement, whether in whole or in part without the prior written consent of Algoryx. Algoryx is entitled to assign this Agreement and all of its rights and obligations hereunder to  any  company  which  is  from  time  to  time  a  holding company or a subsidiary of Algoryx or a subsidiary of any such holding company. Further, in the event of a transfer of Algoryx’ business relating to the Product is transferred to a third party (the “Acquirer”), Algoryx may, simultaneously and together with such transfer and without the consent of Licensee, assign its rights and obligations under this Agreement to the Acquirer.


15. WAIVER
The failure of either party hereto to insist upon strict adherence to any term of this Agreement on any occasion shall not be considered as a waiver of any right hereunder nor shall it deprive that party of the right to insist upon strict adherence to that term or any other term of this Agreement at some other time.


16. AGREEMENT, EXCLUSION OF WARRANTIES
This Agreement supersedes any and all other agreements, oral or written, between the parties hereto with respect to the subject matter hereof. Unless otherwise expressly set out in this Agreement, all  liability  for  representations  and warranties (whether written or oral) made prior to the date hereof are hereby excluded (except for fraudulent representations) and all implied warranties are to the maximum extent permitted by law hereby excluded.


17. GOVERNING LAW
This Agreement shall be governed by, and construed and enforced in accordance with the substantive laws of Sweden without regard to its principles of conflicts of laws or the United Nations Convention on the International Sale of Goods. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or validity thereof shall be finally settled by arbitration in accordance with the Arbitration Rules of the Arbitration Institute of the Stockholm Chamber of Commerce. The number of arbitrators shall be three. The arbitration shall take place in Stockholm, Sweden and the language to be used in the arbitral proceedings shall be English.
The Parties shall keep confidential and shall not disclose to any third parties, without the prior written consent of the other Party, the existence of the arbitral proceedings, any arbitral awards and any Confidential Information and material produced or disclosed by another Party in the arbitral proceedings. Notwithstanding the aforesaid, the disclosure of information to third parties shall not be restricted under this section, if the disclosure of information is required by law, by a competent regulatory or governmental body or other public authority, or is necessary to protect or pursue a legal right of a Party. Furthermore, disclosure of information to professional, financial or legal advisors of a Party shall not be restricted under this section, provided that the recipient of the information is bound by a confidentiality obligation. The aforesaid shall not limit the Parties' right to: (a) seek interim orders or injunctions or any other provisional remedies available under the applicable law; (b) collect uncontested claims from the other Party; or (c) enforce an arbitral award in any competent court of law.


18. IRREPARABLE HARM AND INJUNCTIVE RELIEF
Licensee acknowledges that its use or disclosure of the Product or the threat to make such use or disclosure in a manner inconsistent with this Agreement, will cause Algoryx extensive and  irreparable   harm, and hereby consents that Algoryx shall have the right, at any court of competent jurisdiction in any location where the Product is being used by Licensee, to injunctive relief to prevent the unauthorised use or disclosure.


19. COMPLIANCE TO GDPR
Algoryx shall comply with any applicable European or foreign data protection laws (GDPR) as amended, as well as data protection authorities’ orders and guidelines and any of their successors. Parties acknowledge and agree that in providing the Product and maintenance, Algoryx shall process and use the Licensee’s personal data as a data processor on behalf of Licensee as the data controller. Algoryx shall implement appropriate systems and procedures to ensure that any personal data which it processes in the course of providing the Product and maintenance can, subject to Licensee’s instructions as a data controller, be maintained in a way that the personal data remains adequate, relevant, not excessive, accurate, kept up-to-date and is not retained for longer than is necessary. Licensee may also be in the role of data processor when providing the Product to its own customers. In such a case, Algoryx acts in the role of sub processor when processing personal data of Licensee’s customers.

    colamd:  An approximate minimum degree column ordering algorithm.

    Purpose:

	Colamd computes a permutation Q such that the Cholesky factorization of
	(AQ)'(AQ) has less fill-in and requires fewer floating point operations
	than A'A.  This also provides a good ordering for sparse partial
	pivoting methods, P(AQ) = LU, where Q is computed prior to numerical
	factorization, and P is computed during numerical factorization via
	conventional partial pivoting with row interchanges.  Colamd is the
	column ordering method used in SuperLU, part of the ScaLAPACK library.
	It is also available as user-contributed software for Matlab 5.2,
	available from MathWorks, Inc. (http://www.mathworks.com).  This
	routine can be used in place of COLMMD in Matlab.  By default, the
  \ and / operators in Matlab perform a column ordering (using COLMMD)
	prior to LU factorization using sparse partial pivoting, in the
	built-in Matlab LU(A) routine.
